These terms ("Terms") govern your use of TokenWatt's inference API, the TokenWatt Bench software, our published reports and this website (together, the "Services"). TokenWatt is operated by Teampulse Solutions LLC, a Delaware limited liability company ("TokenWatt", "we", "us"). By using the Services you agree to these Terms. If you use them on behalf of an organization, you agree on its behalf and confirm you have authority to do so.

1. The inference API
Access. You may call our API directly with credentials we issue you, or through a marketplace that routes requests to us. Keep your credentials confidential; you are responsible for activity under them.
Marketplace customers. When you reach us through a marketplace (for example OpenRouter), the marketplace is our customer for billing purposes, and your relationship with the marketplace is governed by its own terms. These Terms still apply to the content you send to us and how we process it.
Models. Models we serve are open-weight models published by third parties under their own licenses. Your use of a model's outputs is subject to that model's license and acceptable-use policy, which you are responsible for reviewing.
Capacity and rate limits. We admit requests only up to measured capacity. When capacity is full, or while capacity is being moved, we return HTTP 429 so that requests can be retried elsewhere. We may change rate limits, models, prices and capacity; prices offered through a marketplace are published there.
Fees. Direct customers pay the prices agreed in writing or shown at the time of use, based on token counts we measure. Invoices are due within 30 days unless agreed otherwise. Fees exclude taxes, which you are responsible for.
2. Your content and outputs
As between you and us, you own the inputs you send ("Prompts") and the outputs we return ("Completions"). You grant us only the rights needed to process your requests. We handle content as described in our privacy & data policy: we do not store or log it, and we do not use it for training.
You are responsible for your Prompts, including having the rights to send them, and for how you use Completions. Model outputs can be inaccurate, incomplete or inappropriate; check them before relying on them, especially for legal, medical, financial or safety-critical decisions.
3. Acceptable use
You must not use the Services to:
- break any law or infringe anyone's rights, including intellectual property and privacy rights;
- generate child sexual abuse material, or content that facilitates violence, terrorism or the creation of weapons capable of mass casualties;
- create malware, or attack, probe or disrupt any system, including ours, without authorization;
- harass, defraud, impersonate or deceive people, including by spam or automated disinformation;
- circumvent rate limits, authentication, billing or security controls, or resell direct access without our written agreement.
We may suspend or block traffic that we reasonably believe breaks these rules or threatens the Services or other customers, and will tell direct customers when we do, unless the law or security prevents it.
4. TokenWatt Bench and published reports
Bench is software you run on your own systems. It is licensed under the license distributed with it; where no license is provided, you may use it for evaluating your own systems. Running load tests against endpoints you don't own or operate requires the owner's permission.
Reports, lab notes and price data on this website are provided for information. They describe the specific hardware, software and settings stated in each report; results on your systems may differ. GPU price data is collected from public sources and may be out of date. You may quote and link to our published material with attribution to TokenWatt.
5. Availability and changes
We work to keep the Services available and fast, but unless a written service-level agreement says otherwise we don't guarantee any particular uptime. We may change, suspend or discontinue any part of the Services. For material changes to the paid API, we'll give direct customers and marketplaces reasonable notice.
6. Disclaimers
Except as expressly stated in a written agreement, the Services are provided "as is" and "as available", without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, accuracy and non-infringement.
7. Limitation of liability
To the fullest extent permitted by law, TokenWatt will not be liable for any indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue, data or goodwill. Our total liability for all claims relating to the Services is limited to the greater of (a) the fees you paid us for the Services in the 12 months before the claim arose and (b) US$100.
8. Indemnity
You will defend and indemnify TokenWatt against third-party claims arising from your Prompts, your use of Completions, or your breach of these Terms, and pay resulting damages and reasonable costs.
9. Suspension and termination
You may stop using the Services at any time. We may suspend or terminate your access if you breach these Terms, fail to pay, or create risk for us or other customers. Sections 2, 6, 7, 8 and 10 survive termination, as do payment obligations.
10. General
These Terms are governed by the laws of the State of Delaware, USA, without regard to conflict-of-laws rules, and disputes will be resolved in the state or federal courts located in Delaware. A signed agreement between you and TokenWatt takes precedence over these Terms where they conflict. If any provision is unenforceable, the rest remains in effect. You may not assign these Terms without our consent. We may update these Terms by posting a new version here with a new effective date; continued use after that date means you accept the update.
